The plain-language rules for using Teamward: what we provide, how billing and cancelling work, and what each of us is responsible for.
The agreement
These Terms of Service ("Terms") are an agreement between Teamward ("Teamward", "we", "us") and the business or organization that signs up for Teamward ("Customer", "you"). The person who creates the account confirms they have authority to accept these Terms for the Customer. By using the Teamward website, web app or mobile apps (the "Service"), you agree to these Terms and to our Privacy Policy.
The Service
Teamward is a team app for businesses: chat, time clock and timesheets, time off, a knowledge base, an AI assistant, HR records and related tools. We may improve, change or remove features over time; if we remove a major feature you rely on, we will tell you in advance.
Accounts and users
- You are responsible for your account, for the staff you invite ("Users"), and for everything done under your account.
- Keep sign-in details secure and tell us promptly at the address below if you suspect unauthorized access.
- You are responsible for giving your staff any notices and getting any consents required by law for the information you put into Teamward, including clock-in locations, time records and HR details.
Plans, trial and billing
- Plans. Teamward is priced by the number of Users who can sign in, starting at $20 CAD per month for up to 10 Users, plus applicable taxes. Your current plan and price are shown in the app under Admin tools → Billing. Larger organizations may be offered a custom plan.
- Free trial. New Customers get a 14-day free trial with a payment card on file. If you don't cancel before the trial ends, your subscription starts and your card is charged automatically. One free trial per Customer.
- Renewal. Subscriptions renew automatically each month until cancelled, and are charged to your card on file at the start of each billing period.
- Plan changes. When the number of Users who can sign in moves into a different plan, your plan changes automatically and the difference is prorated.
- Price changes. We may change prices with at least 30 days' notice; the new price applies from your next billing period after the notice.
- Failed payments. If a payment fails, we will retry and notify you. If payment is not received, we may lock the account until it is.
- Taxes. Prices exclude taxes such as GST/HST, which are added where required.
- Refunds. Payments are non-refundable except where required by law.
Cancelling
You can cancel at any time from Admin tools → Billing in the app. Cancellation takes effect at the end of the current billing period (or the end of the free trial, with no charge), and you keep access until then. After the account closes, your data is kept for 30 days in case you come back, then deleted. You can export or copy anything you need before then.
Your data
You own the content you and your Users put into Teamward ("Customer Data"). You give us permission to host, copy, process and display Customer Data only as needed to provide, secure and support the Service. We handle Customer Data as described in our Privacy Policy, and we don't sell it.
Acceptable use
You and your Users agree not to:
- use the Service for anything unlawful, harmful, harassing or fraudulent;
- upload content you don't have the right to share, or that infringes others' rights;
- try to access other companies' data, probe or break the Service's security, or overload it;
- copy, resell or reverse-engineer the Service, or use it to build a competing product;
- send spam or unsolicited messages through the Service.
We may suspend accounts that break these rules or put the Service or others at risk.
AI assistant
The AI assistant generates answers from your company's knowledge base and general knowledge. Answers can be incomplete or wrong. Check important answers, and always follow product labels, safety rules, laws and your own company's procedures. You are responsible for decisions made using the assistant's answers.
Third-party services
Some features work with services you connect, such as Google Drive or Quo. Your use of those services is governed by their own terms, and we are not responsible for them.
Availability and support
We work to keep Teamward available and reliable, but the Service is provided without a guaranteed uptime. We may perform maintenance, and we will try to do so at quiet times. Support is available by email.
Disclaimer
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Teamward is a tool to help run your business; you remain responsible for complying with employment, payroll, privacy and other laws that apply to you, including checking time and pay records.
Limitation of liability
To the extent permitted by law, Teamward will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility. Our total liability for all claims relating to the Service in any 12-month period is limited to the amount you paid us for the Service in that period.
Indemnity
You agree to defend and indemnify Teamward against claims arising from your Customer Data, your Users' use of the Service, or your breach of these Terms or of the law.
Suspension and termination
We may suspend or end your access if you materially breach these Terms and don't fix it after notice, if payment isn't made, or if required by law. You may stop using the Service at any time by cancelling. Sections that by their nature should survive (such as payment owed, disclaimers, limitation of liability and indemnity) survive termination.
Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction over any dispute, unless the law where you are located requires otherwise.
Changes to these Terms
We may update these Terms. If a change is significant, we will tell Customers by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
General
These Terms and the Privacy Policy are the whole agreement between us about the Service. If any part is found unenforceable, the rest still applies. Not enforcing a right isn't a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.
